1. Acceptance of Terms

By accessing or using FreightCue ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after any changes indicates your acceptance of the new Terms.

2. Description of Service

FreightCue is a platform that connects businesses with freight forwarders worldwide. Our services include:

• Directory of verified freight forwarding companies
• Quote request and comparison tools
• Communication tools between shippers and forwarders
• Shipment tracking information
• Business networking features

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

We offer different account types for shippers, freight forwarders, and agents. Each account type has specific features and responsibilities as outlined in your account settings.

3.4 Communications Consent

By registering for an account on FreightCue, you expressly consent to receive electronic communications from us, including but not limited to:

• Verification emails: One-time passwords (OTP), email verification codes, and account verification messages
• Transactional notifications: Quote requests, quote responses, message alerts, and order confirmations
• System notifications: Account updates, security alerts, password reset requests, and service announcements
• Marketing communications: Promotional offers, newsletters, new feature announcements, and partner opportunities

You may opt out of marketing communications at any time through your account settings or by clicking the unsubscribe link in our emails. However, you cannot opt out of essential transactional and security communications while maintaining an active account.

4. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorized access to any part of the Platform
• Use automated means to access the Platform without our permission
• Transmit any viruses, malware, or other harmful code
• Violate any applicable laws or regulations

5. Freight Forwarding Services

FreightCue is a platform that facilitates connections between shippers and freight forwarders. We do not provide freight forwarding services directly.

Any agreements or contracts for freight forwarding services are made directly between you and the freight forwarder. FreightCue is not a party to such agreements and is not responsible for:

• The quality or timeliness of freight forwarding services
• Any damages, losses, or delays in shipment
• Disputes between shippers and freight forwarders
• The accuracy of quotes or pricing provided by forwarders

6. Fees and Payment

Certain features of the Platform may require payment of fees. All fees are non-refundable unless otherwise stated. We reserve the right to change our fees at any time with reasonable notice.

Subscription plans and their associated features are described on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees.

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by FreightCue and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit to the Platform but grant us a worldwide, non-exclusive license to use, reproduce, and display such content in connection with our services.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREIGHTCUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless FreightCue and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may terminate or suspend your account and access to the Platform at our sole discretion, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease.
